Agreement to these Terms

These Terms of Service govern access to and use of Adaya's websites, recruiting platform, candidate application experiences, and related services. By creating an account, signing an order form that references these Terms, or using the service, you agree to them on behalf of yourself or the organization you represent.

If you use the service for an organization, you represent that you have authority to bind that organization. An order form, data processing agreement, or other signed agreement may add to or modify these Terms; the signed agreement controls if there is a conflict.

The service

Adaya provides recruiting workflow software for care providers. Features may include job and application intake, candidate records, screening support, recruiter notes, AI-assisted summaries, workflow history, communications, credential-readiness signals, and interview coordination.

Adaya is a technology provider, not the employer, staffing agency, background reporting agency, credentialing authority, medical provider, or final decision-maker. Employer customers control their jobs, recruiting criteria, communications, candidate treatment, and employment decisions.

Accounts and authorized users

Customer accounts must contain accurate information and may be used only by authorized people. You are responsible for maintaining the confidentiality of credentials, assigning appropriate workspace roles, promptly removing access that is no longer needed, and notifying us of suspected unauthorized use.

You may not share accounts, impersonate another person, or attempt to access a company workspace, candidate record, or system for which you do not have permission.

Customer responsibilities

Customers are responsible for their use of the service and for complying with employment, privacy, communications, accessibility, recordkeeping, and anti-discrimination laws. This includes providing required candidate notices and consent, honoring accommodation requests, and maintaining lawful job criteria.

  • Job criteria

    Use criteria that are accurate, job-related, consistently applied, and lawful for the role and jurisdiction.

  • Human oversight

    Review source information and AI-assisted outputs before taking consequential action involving a candidate.

  • Communications

    Send email, SMS, voice, or scheduling communications only with the authority, notices, and consent required by law.

  • Candidate requests

    Maintain a process for questions, corrections, accommodations, appeals, and privacy requests connected to your hiring process.

AI-assisted features

AI features are designed to organize job-relevant evidence, identify missing information, draft content, summarize applications, and prepare recruiter actions. Outputs may be inaccurate, incomplete, or unsuitable for a particular decision. They are not legal advice, credential verification, or a final hiring recommendation.

Customers must not direct the service to use or infer protected characteristics, disability or medical information, or other unlawful criteria. Customers remain responsible for testing their workflows, monitoring results, investigating potential adverse impact, and ensuring meaningful human review.

Acceptable use

You may use the service only for lawful recruiting and workforce operations within the scope of your subscription or evaluation. You may not misuse the service or help another person do so.

  • No unlawful discrimination

    Do not create criteria, prompts, or workflows that discriminate or facilitate discrimination on a protected basis.

  • No patient records

    Do not upload patient records or protected health information governed by HIPAA unless a separate written agreement with Adaya expressly permits that use.

  • No harmful access

    Do not probe, scan, disrupt, bypass, reverse engineer, scrape, introduce malicious code, or access data outside your authorization.

  • No sensitive overcollection

    Do not collect Social Security numbers, financial credentials, medical details, or government identifiers unless the service expressly supports the data and the collection is lawful and necessary.

  • No resale or misuse

    Do not sell candidate data, use it for unrelated advertising, or build profiles unrelated to the recruiting purpose disclosed to the candidate.

Customer data and privacy

As between Adaya and the customer, the customer retains its rights in data submitted to the service. The customer grants Adaya a limited right to host, process, transmit, and display that data only as needed to provide, secure, support, and improve the service and to meet legal obligations.

Each party will comply with its privacy obligations. Our Privacy Policy describes Adaya's general practices. If the parties sign a data processing agreement, that agreement governs covered processing.

Third-party services

The service may depend on or connect to third-party services such as hosting, authentication, storage, communications, calendars, AI providers, or job platforms. Third-party services may have their own terms and privacy practices. Adaya is not responsible for third-party services that a customer chooses, controls, or uses outside the service.

Fees and service changes

Fees, billing terms, subscription length, and included usage are set out in the applicable order form or checkout. Except where the agreement says otherwise, fees are non-refundable and taxes are the customer's responsibility.

We may improve, modify, or discontinue features. We will use reasonable efforts to provide notice before a material reduction to paid core functionality, unless an urgent security, legal, or reliability issue requires faster action.

Ownership and feedback

Adaya and its licensors own the service, software, design, documentation, and related intellectual property. These Terms give you a limited, non-exclusive, non-transferable right to use the service during the applicable subscription or evaluation period.

If you provide feedback, you permit Adaya to use it without restriction or payment, provided we do not identify you publicly without permission.

Suspension and termination

You may stop using the service at any time, subject to any order form commitments. We may suspend access when reasonably necessary to prevent harm, address a security issue, comply with law, respond to nonpayment, or investigate a material breach. We may terminate access for an uncured material breach or as an agreement permits.

After termination, customer access ends and data will be handled according to the agreement, Privacy Policy, and applicable retention requirements. Provisions that by their nature should survive will survive, including payment obligations, ownership, confidentiality, disclaimers, and limitations of liability.

Disclaimers and liability

To the maximum extent permitted by law, the service is provided “as is” and “as available.” Adaya disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the service or an AI output will be uninterrupted, error-free, or suitable for a particular employment decision.

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data. Adaya's aggregate liability arising from the service will not exceed the amount paid or payable for the service during the 12 months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so those limits apply only to the extent permitted.

General terms and contact

Neither party may assign its rights under these Terms without the other's consent, except in connection with a merger, reorganization, or sale of substantially all relevant assets. If a provision is unenforceable, the remaining provisions stay in effect. A failure to enforce a provision is not a waiver.

The governing law and venue stated in an applicable signed order form control. If no signed agreement specifies them, applicable law governs without regard to conflict-of-laws rules. Questions about these Terms can be sent to hello@tryadaya.com.
